The chairman of the Board of Directors has announced on the General Meeting that Gábor Zsámboki will hold the position of general manager of the Company from 1 May 2008. The former general manager, György Gyergyák will continue to support the Company’s work as vice-chairman of the Board of Directors. The General Meeting of State Printing House Plc has approved the strategically important proposals of the Board of Directors. The shareholders approved the HUF 401 dividend proposal, the conversion of Series ‘B’ and ‘C’ employee shares, the dividing of ordinary shares with 1:10 ratio and they agreed with the guidelines of the share option programme.
The General Meeting of State Printing House hold on 28 April 2008 has approved the report which contains HUF 13.5 billion consolidated net sales and HUF 1.158 million consolidated net income and the report of the Supervisory Board and that of the Auditor. Considering further growth and future acquisitions, the shareholders approved the HUF 401 dividend proposal per share. State Printing House Plc will start the payment on 21 May 2008 including the proportional allocation of dividend for treasury shares. The General Meeting voted for the conversion of Series ‘B’ and ‘C’ employees shares into Series ‘A’ ordinary shares and their stock exchange listing. The shareholders also supported the proposal of the Board of Directors on stock split. According to this, The Company divides the par value of ordinary shares with 1:10 ratio and increases their number proportionally. The General Meeting approved the guidelines of the share option programme proposed for further growth and gave authorisation for further acquisition of treasury shares. According to the guidelines of the option programme until 2011, 80,000 pieces of shares will be distributed to management members defined by the Board of Directors. The option shares will be able to be called in three parts: if the share price permanently reaches HUF 1,800, 2,100 and 2,500 level (according to the share price after the split).
The chairman of the Board of Directors, Dr. Ákos Erdős announced that György Gyergyák general manager will retire from operative cases but he will retain his position in the Board of Directors and continue to support the Company’s work as a vice-chairman. The Board of Directors appointed Gábor Zsámboki deputy general manager for general manager of State Printing House from 1 May 2008.

At the beginning, he was responsible for sales and marketing, and lately he could consciously prepare for the role of a leading manager by supervising more and more areas. György Gyergyák (59) – Member of the Board of Directors since 1994, vice-chairman of the Board of Directors since 22 September 2005. He obtained the degree of light industry production engineer in 1977 which was followed by the degree of light industry economic engineer in 1987. Between 1967 and 1985 he worked at Athenaeum Printing House as a foreman, later as a sales manager. From 1985 to 1994 he worked at SZÜV Printing House as a deputy director. He has been the general manager of State Printing House since 1994. In 2008, the Federation of Hungarian Printers and Paper Makers has awarded his several-decade-long professional activities with a life achievement award.
Gábor Zsámboki (45) – Member of the Board of Directors since 2005. He graduated from the College of Mechanics, Telecommunication and Transport in 1984 and from the Budapest College of Foreign Trade as an economist in 1992. From 1985 he was the leader of the International Telephone Centre of the Hungarian Post, from 1988 he was executive of the Domestic and International Telephone Centre. Between 1991 and 1994, he worked as head of the marketing department at Matáv Rt. and between 1995 and 1999, he was the head of the marketing communications department and advertising executive at the Office of the General Manager of Matáv Rt. Since 1999 he has been deputy general manager sales and marketing of State Printing House Plc, from 2007 he is the deputy general manager of the Company.
